Effective Date: October 9, 2026
WindRiver Management, LLC (âWindRiver,â âwe,â âus,â or âourâ), together with WindRiver Club, LLC (the âClubâ) and WindRiver Properties, LLC (collectively, the âCompaniesâ), issues this Statement. We also host and administer meetings on behalf of WindRiver Community Association, Inc. (the âAssociationâ).
This Statement explains how we handle personal information belonging to members, property owners, guests, employees, contractors, and business partners when they interact with our technology systems. It also sets out the terms that apply when you register for, join, or participate in a meeting or event we host, including the Associationâs Annual Meeting. Section 10 explains that written documents control and that statements made during a meeting cannot be relied on. Please read it before you register.
1. Scope
This Statement applies to personal information processed through:
- Our identity, email, collaboration, and related technology systems, including Microsoft 365, Microsoft Teams, Microsoft Entra ID, SharePoint, and Asana
- Virtual and in-person meetings, webinars, town halls, and events we host or administer, including meetings of the Association and the Club (âMeetingsâ)
- Member and guest services, including registration, communications, and portal access
It applies to employees and contractors of the Companies; members, property owners, and guests; external parties invited to collaborate through Teams, SharePoint, or similar platforms; and vendors who interact with our staff through these systems. Our website privacy policy governs website browsing and marketing data. Where both apply, this Statement controls for Meetings and member services.
2. Information We Collect
Depending on your relationship with us, we may collect:
- Identity and contact information: name, email address, phone number, mailing address, property address or lot number, membership number and category, job title, and employer
- Account and authentication data: sign-in activity, device and browser information, IP address, and multi-factor authentication status
- Communications and files: emails, messages, and files shared through email, Teams, and collaboration platforms
- Membership and service information: information needed to provide membership, hospitality, club, or Association services, including billing contact details
Meeting and event data. When you register for or join a Meeting, we may also collect:
- Registration information: your name, email address, property address or lot number, and your answers to registration questions, including your acknowledgment of these terms
- Attendance and participation records: when you joined and left, how long you attended, your display name, and connection and device details reported by Microsoft Teams
- Questions, chat, and polls: questions you submit, chat messages, poll responses, reactions, and other content you post during a Meeting, with your name as displayed
- Audio, video, and shared content: your voice, likeness, screen content, and anything you say or show if you turn on your microphone or camera or share your screen
- Recordings and transcripts: recordings, automated transcripts, captions, and attendance reports generated by Teams for the Meeting
3. How We Use Information
We use personal information to:
- Provide secure access to our systems and verify identity
- Confirm that each registrant is entitled to attend, record attendance, and confirm quorum for Association meetings
- Conduct the Meeting, moderate questions and chat, and respond to questions during or after the Meeting
- Produce a recording, transcript, or summary so that eligible members and owners who could not attend can review the Meeting
- Keep records of Meeting proceedings, attendance, and communications for governance, compliance, and dispute-resolution purposes
- Communicate with members, owners, guests, employees, and partners about Club, Association, and community matters
- Maintain the security, integrity, and proper functioning of our technology environment
- Meet legal, contractual, and regulatory obligations and protect our legal rights
4. Meeting Registration
Registration is required to attend Meetings we designate as registration-only, including the Associationâs Annual Meeting. Registration lets us confirm that each attendee is entitled to attend, record attendance and quorum, and send each registrant a personal join link. Join links are for the registrant only and should not be forwarded. Anyone who tries to join without registering may be declined.
If you have trouble registering online, or you are an Association member who wants to attend but cannot complete online registration, contact Member Services at 865-988-1864 or MemberServices@windriverliving.com before the Meeting and we will register you. By joining a Meeting through any method, you accept these terms.
5. Recording and Transcription Notice
Meetings may be recorded and transcribed. Recording captures audio, video, screen content, chat, Q&A, and poll activity, and Teams may generate an automated transcript and attendance report.
Your consent. By registering for or joining a Meeting, you consent to being recorded and transcribed. If you do not wish to be recorded, keep your camera and microphone off and submit questions in writing. Written questions and chat messages are part of the record even if you do not speak.
Distribution. Recordings and summaries of member and owner Meetings may be posted to the password-protected member portal or distributed by email to eligible members and owners. We may edit a recording to remove technical issues, off-topic content, or personal information before posting. We do not post Meeting recordings publicly.
Not the official record. Recordings, transcripts, chat logs, and Q&A logs are convenience records only. For Association meetings, the official record is the minutes kept by the Associationâs Secretary and approved by its Board of Directors under the Associationâs By-Laws.
6. How We Share Information
We do not sell personal information. We may share information with:
- Service providers that support our technology environment and events, subject to confidentiality and data protection obligations. Microsoft Teams is provided by Microsoft Corporation, which also processes certain data under its own privacy statement at privacy.microsoft.com.
- The Companies, their affiliates, and the Association, as needed to operate shared systems and administer Meetings
- Other eligible members and owners, to the extent your name, questions, or comments appear in a Meeting recording, transcript, or summary distributed under Section 5
- Professional advisors, including attorneys, accountants, and auditors
- Legal or regulatory authorities where required by law, and otherwise as needed to enforce our agreements or protect our rights, property, or safety or those of others
7. Data Security
We maintain administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, disclosure, alteration, or destruction, consistent with industry practice for our size and the sensitivity of the data involved. No system is completely secure, and we cannot guarantee the security of information transmitted over the internet.
8. Data Retention
We retain personal information only as long as necessary for the purposes described in this Statement, or as required by law, contract, or legitimate business need. Meeting recordings, transcripts, registration records, and attendance records are kept as part of our governance records and may be retained for as long as the related matters, agreements, or legal obligations remain active.
9. Your Rights and Choices
Depending on your location and relationship with us, you may have rights to access, correct, or request deletion of your personal information. You may also ask us to remove your name from a posted recording or transcript where we can do so without affecting the record. To make a request, contact us using the information in Section 12. We may need to verify your identity before responding, and we may keep information where we are required to or where it is needed to maintain governance records.
10. Meeting Participation Terms and Non-Reliance
By registering for, joining, or participating in any Meeting, you acknowledge and agree to the following:
(a) Informational purposes only. Presentations, remarks, slides, answers to questions, chat messages, and other content shared during a Meeting are provided for general information only. They are informal, may be incomplete, may contain errors, and may change without notice.
(b) Written documents control. Nothing said, shown, or distributed during a Meeting changes, supplements, interprets, or waives any written document. Your rights and obligations, and ours, are governed solely by the applicable written documents. These include your purchase and sale agreement and closing documents; the Amended and Restated Declaration of Covenants and Restrictions for WindRiver, as amended and supplemented (the âDeclarationâ or âCC&Rsâ); the Associationâs Charter, By-Laws, rules, and policies; budgets and assessments adopted in writing by the Associationâs Board of Directors; the Club Membership Plan, the Club Rules and Regulations, and the Schedule of Dues and Fees; your membership agreement; and any other recorded or signed instrument (collectively, the âGoverning Documentsâ). If anything said during a Meeting conflicts with the Governing Documents, the Governing Documents control. No officer, director, employee, or representative of the Companies, their affiliates, or the Association has authority to change the Governing Documents by a verbal statement.
(c) No reliance. You agree that you are not relying, and will not rely, on any verbal statement, answer, estimate, projection, timeline, rendering, or plan presented during a Meeting in making any decision, including any decision to purchase, sell, or build on property, to join the Club or change a membership category, or to take or refrain from any other action. Base any such decision only on the Governing Documents and your own review with your advisors. If you need a definitive answer about your rights or obligations, request it in writing from Member Services.
(d) Forward-looking statements. Statements about future plans, timing, amenities, construction, pricing, dues, assessments, budgets, or financial results reflect current intentions only and may change or be cancelled without notice. No commitment is made that any plan will be completed as described, on any schedule, or at all. Conceptual plans and renderings are illustrative and are not representations of what will be built.
(e) No offer. Nothing in a Meeting is an offer to sell, or a solicitation of an offer to buy, real estate, a membership, or a security, and nothing in a Meeting is a representation about investment return, appreciation, rental income, or tax outcome.
(f) No admission or waiver. Statements made during a Meeting, including responses to questions, are not admissions by the Companies, their affiliates (including the Declarant under the Declaration), or the Association and do not waive any right, claim, defense, or position of any of them, including in any pending or future legal proceeding.
(g) Conduct and use of materials. Meetings are moderated. Questions may be grouped, paraphrased, deferred, or answered in writing after the Meeting, and participants who are disruptive may be muted or removed. Participants may not record a Meeting. Meeting content, recordings, and materials are provided for the personal use of eligible participants and may not be copied or redistributed without our written permission.
(h) Member rights preserved. Nothing in these terms limits any right an Association member has under the Governing Documents or Tennessee law to attend, be heard at, or vote at a meeting of the Association.

We may update this Statement from time to time. The Effective Date above reflects the most recent revision. The version posted at the time you register for a Meeting is the version that applies to that Meeting.
